Confidentiality: Diana Marquis, CFRE and DMGroupConsulting agree to hold all organizational information, including donor records and financial details, in strict confidence. All documentation received from the Client and documentation produced under this Agreement is confidential and proprietary to the Client.
Non-Disparagement: DMGroupConsulting and Client shall not, during the Term or after the termination or expiration of this Agreement, make disparaging statements, in any form, about each other’s officers, directors, agents, employees, or services which Client and DMGroupConsulting know, or have reason to believe, are false or misleading.
Indemnification: Each party will indemnify and hold harmless the other party from and against any damages, claims, and expenses arising out of or resulting from work performed by DMGroupConsulting and its agents or employees.
Work Product: DMGroupConsulting grants Client an unrestricted license to use in perpetuity any and all work created by DMGroupConsulting on behalf of Client. DMGroupConsulting may incorporate work done for Client in a reasonable manner for future DMGroupConsulting business such as utilizing non-specific samples or templates.
Notices: Any notice or communication permitted or required by this Agreement will primarily be delivered by email or if necessary, personally delivered or deposited, postage prepaid, by USPS first-class mail, properly addressed to the appropriate party at the address below:

Governing Law, Venue: This Agreement, all terms and conditions, all rights and obligations of the parties, and all claims arising out of or relating to this Agreement, will be construed, interpreted, and applied in accordance with, governed by and enforced under, the laws of the State of Texas and Dallas County.
Entire Agreement: This Agreement constitutes the entire agreement of the parties regarding the subject matter hereof, and replaces and supersedes all other agreements or understandings, whether written or oral. No amendment or extension of this Agreement shall be binding unless in writing and signed by both parties.
